These Terms and Conditions (“Terms”) govern your access to and use of the STS digital platform, websites, applications, and related services (together, the “Platform”), operated by STS (Company No. 12437036) (“STS”, “we”, “us”, “our”).
By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.
1. About STS
STS operates a regulated digital platform that supports nutrient mitigation and nutrient neutrality compliance across England.
Our Platform connects homeowners, developers, local planning authorities, and other stakeholders within a transparent, auditable compliance framework.
STS is not a planning authority and does not provide legal advice. We provide digital infrastructure and compliance support services.
2. Definitions
In these Terms:
“User” means any person or organisation accessing or using the Platform.
“Homeowner” means a private individual using the Platform in connection with a residential property.
“Developer” means a property developer or professional advisor using the Platform for nutrient mitigation planning compliance.
“Authority User” means a local planning authority or regulator accessing the Platform.
“Content” means all data, text, documents, reports, images, software outputs, and materials available on the Platform.
“Proprietary Technology” means the STS platform software, databases, spatial engine, compliance logic, workflows, and algorithms.
3. Scope of services
STS provides a digital compliance platform including (without limitation):
Eligibility assessment tools
Data capture and processing services
Spatial and regulatory compliance analysis
Digital document management
Credit lifecycle tracking and reporting
We may update, modify, or improve the Platform at any time.
4. User groups and responsibilities
4.1 Homeowners
Homeowners may use the Platform to submit property information and receive guidance. You confirm that information provided is accurate to the best of your knowledge.
STS does not guarantee any regulatory outcome and does not replace independent professional advice.
4.2 Homeowners
Developers use the Platform to support planning compliance and mitigation procurement.
You are responsible for:
Ensuring data accuracy
Using outputs in conjunction with professional planning and legal advice
Complying with all applicable laws and planning requirements
Platform outputs support decision-making but do not replace statutory authority determinations.
4.3 Local Planning Authorities and Regulators
Authority Users may access the Platform to view compliance records and audit trails.
Use is limited to regulatory and planning functions only.
5. Account security
You are responsible for maintaining the confidentiality of login credentials and for all activity under your account.
STS may suspend access where security is compromised or misuse is suspected.
6. Data and information
6.1 User Data
You retain ownership of personal and property data you submit.
You grant STS a worldwide, non-exclusive licence to use this data to:
Operate the Platform
Perform compliance analysis
Generate reports and regulatory records
Meet legal and contractual obligations
Data is processed in accordance with our Privacy Policy.
6.2 Platform Data and Outputs
All analytical outputs, reports, system-generated records, and compliance artefacts produced by the Platform form part of the STS compliance infrastructure.
Users may use outputs for their intended regulatory purposes only.
7. Proprietary technology and intellectual property
The Platform, the STS website, and all underlying systems and materials, including (without limitation):
the STS website and all website content, design, layout, user interface and branding;
all software, source code, databases, data structures, and APIs;
the STS spatial engine, algorithms, models, workflows, and compliance logic;
all reports, system outputs, dashboards, registries, certificates, and digital records; and
all documentation, methodologies, and processes,
together the “Proprietary Technology”, are the exclusive property of STS or its licensors and are protected by intellectual property laws.
Nothing in these Terms grants you any ownership interest in the Proprietary Technology.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and website solely for their intended purposes in accordance with these Terms.
You must not, directly or indirectly:
copy, modify, adapt, translate, or create derivative works from the Platform or website;
reverse engineer, decompile, disassemble, or otherwise attempt to discover source code or system logic;
extract, scrape, harvest, or reuse Platform or website data at scale;
reproduce, mirror, or frame any part of the Platform or website;
use Platform outputs, data, or methodologies to develop or support competing systems or services; or
remove or obscure any proprietary notices.
All rights not expressly granted are reserved by STS.
8. Confidentiality
Certain Platform information constitutes confidential and proprietary information of STS.
You must not disclose non-public system architecture, methodologies, or platform logic to third parties.
9. Acceptable use
We implement appropriate technical and organisational measures to protect personal data, including:
Secure cloud-based systems
Access controls and authentication
Encryption where appropriate
Regular review of access rights and data handling practices
Personal data is retained only for as long as necessary, including where long-term retention is required to meet legal, environmental, or regulatory obligations.
10. Third-party services
The Platform may integrate mapping, data, and communication services provided by third parties. STS is not responsible for third-party service availability or accuracy.
11. Regulatory context
STS operates within environmental and planning compliance frameworks but is not a public authority.
Final planning decisions remain with statutory bodies.
12. Disclaimers
The Platform is provided on an “as is” basis.
While we take reasonable care to ensure accuracy, STS does not warrant that:
Outputs will be error-free
Regulatory interpretations will not change
Authorities will reach any particular decision
13. Limitation of liability
To the maximum extent permitted by law, STS shall not be liable for:
Indirect or consequential loss
Loss of profit, business, or opportunity
Reliance on Platform outputs without independent advice
Our total liability shall not exceed fees paid to STS in the preceding 12 months.
Nothing limits liability for death, personal injury, fraud, or other non-excludable liability.
14. Indemnity
You agree to indemnify STS against claims arising from:
Your misuse of the Platform
Breach of these Terms
Inaccurate or unlawful data submission
15. Termination
STS may suspend or terminate access immediately if you breach these Terms or misuse the Platform.
On termination, your right to access ceases immediately.
16. Changes to these terms
We may update these Terms from time to time.
Continued use of the Platform constitutes acceptance of updated Terms.
17. Governing law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.
